Terms and Conditions

Welcome to Scipio Pro, a software-as-a-service (SaaS) that provides indicators that can be used on TradingView. These terms and conditions (the “Terms”) govern your access and use of our website, services, private group(s), and indicators (collectively, the “Service”). By using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your own personal or internal business purposes. You may not use the Service for any other purpose, or in any manner that is unlawful, infringes our or any third party’s rights, or violates any applicable law or regulation.

You may not:

• copy, modify, adapt, translate, reverse engineer, decompile, or disassemble any part of the Service;

• rent, lease, sell, resell, distribute, or sublicense the Service to any third party;

• remove any proprietary notices or labels on the Service;

• interfere with or disrupt the operation or security of the Service;

• use any automated means to access or use the Service;

• create derivative works based on the Service;

• use the Service to provide services to third parties; or

• use the Service in any way that violates these Terms or any applicable law or regulation.

2. Registration and Account

To use certain features of the Service, you may need to register and create an account. You are responsible for providing accurate and complete information when registering and creating an account. You are also responsible for maintaining the confidentiality and security of your account and password. You agree to notify us immediately of any unauthorized access or use of your account. We are not liable for any loss or damage arising from your failure to protect your account or password.

You may not:

• create more than one account;

• use another person’s account without their permission;

• impersonate any person or entity;

• use a false or misleading name, email address, or other information; or

• use an account that violates these Terms or any applicable law or regulation.

We reserve the right to suspend or terminate your account at any time and for any reason, without notice or liability.

3. Fees and Payment

The Service is offered on a subscription basis. You agree to pay the fees applicable to your chosen subscription plan (the “Fees”). The Fees are non-refundable and non-cancellable unless otherwise stated in these Terms or required by law. We may change the Fees at any time by posting the new Fees on our website or notifying you by email. Your continued use of the Service after such change constitutes your acceptance of the new Fees.

You authorize us to charge your chosen payment method (such as credit card, debit card, PayPal, etc.) for the Fees on a recurring basis according to your subscription plan (such as monthly, quarterly, annually, etc.). You are responsible for providing valid and updated payment information. If we are unable to charge your payment method for any reason, we may suspend or terminate your access to the Service until you pay the outstanding Fees.

4. Indicators

The Service provides indicators that can be used on TradingView. The indicators are based on our proprietary algorithms and data sources. The indicators are intended for informational and educational purposes only and do not constitute financial advice. You are solely responsible for your own trading decisions and actions. You acknowledge and agree that:

• The indicators are not guaranteed to be accurate, complete, timely, reliable, or error-free;

• The indicators do not reflect all market conditions or factors that may affect your trading performance;

• The indicators do not take into account your personal objectives, financial situation, risk tolerance, or other circumstances;

• The indicators do not guarantee any results or outcomes; and

• The indicators may change at any time without notice.

You may not:

• reproduce, copy, distribute, publish, display, transmit, modify, alter, tamper with, or reverse engineer the indicators;

• use the indicators for any illegal, fraudulent, or unethical purposes;

• use the indicators to create or provide any competing or similar products or services; or

• share, disclose, or distribute the indicators to any third party without our prior written consent.

We reserve all rights not expressly granted to you in these Terms. We retain all ownership, title, and interest in and to the Service and the indicators, including all intellectual property rights therein.

5. Private Group

As part of the Service, you may be granted access to a private group where you can interact with other subscribers and share information related to the indicators and trading. The private group is subject to the following additional terms and conditions:

• You agree to abide by the rules and guidelines of the private group, as posted by us or the group moderators from time to time.

• You agree to respect the privacy and confidentiality of other group members and not to disclose or share any information from the private group without their prior consent.

• You agree not to post or transmit any unlawful, harmful, abusive, defamatory, obscene, hateful, or otherwise objectionable content or material in the private group.

• You agree not to spam, solicit, advertise, or promote any products or services in the private group, unless expressly authorized by us or the group moderators.

• You agree not to impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity in the private group.

• You agree not to engage in any harassment, bullying, intimidation, or discrimination of any kind in the private group.

• You agree not to infringe or violate any intellectual property rights, privacy rights, or other rights of any third party in the private group.

We reserve the right to monitor, moderate, edit, delete, or remove any content or material posted or transmitted in the private group at our sole discretion. We also reserve the right to suspend or terminate your access to the private group at any time and for any reason, without notice or liability.

You acknowledge and agree that:

• The information shared in the private group is for informational and educational purposes only and does not constitute financial advice.

• The information shared in the private group may not be accurate, complete, timely, reliable, or error-free.

• The information shared in the private group does not reflect our views or opinions and we do not endorse or verify any such information.

• The information shared in the private group may be subject to change at any time without notice.

• We are not responsible or liable for any loss or damage arising from your use of or reliance on the information shared in the private group.

You further acknowledge and agree that:

• If you disclose or share any information from the private group without our prior written consent, you will be liable to pay us a fine of $10,000 per each such disclosure or sharing.

• This fine is a reasonable estimate of the damages we may suffer as a result of your breach of these terms and conditions and does not limit our right to seek any other remedies available under law or equity.

6. Support and Maintenance

We will use reasonable efforts to provide you with technical support and maintenance for the Service, as described on our website or in your subscription plan. We may provide support and maintenance via email, phone, chat, or other means at our sole discretion. We do not guarantee that we will be able to resolve all issues or errors that may arise in connection with the Service.

We may also update, upgrade, modify, enhance, improve, or downgrade the Service from time to time at our sole discretion. You acknowledge and understand that the Scipio Pro products are currently in the development stage. As such, the products may undergo changes, modifications, or improvements. You will not be notified of such changes, modifications, or improvements, nor will you receive prior notice. You acknowledge that these are inherent to the nature of product development and agree not to raise any claims, demands, or objections regarding these changes. You also agree that your continued use of the Service after such changes constitutes your acceptance of the changes.

7. Availability and Downtime

We will use reasonable efforts to ensure that the Service is available and accessible at all times. However, we do not guarantee that the Service will be uninterrupted, error-free, or secure. The Service may be subject to occasional downtime due to maintenance, upgrades, repairs, network issues, security breaches, or other causes beyond our control. We will try to minimize the duration and frequency of any downtime and notify you of any planned or unplanned downtime that may affect your use or access.

We are not liable for any loss or damage arising from any downtime or unavailability of the Service.

8. Termination

You may terminate your subscription and these Terms at any time by notifying us in writing and ceasing to use the Service. We may terminate your subscription and these Terms at any time by notifying you in writing if:

• you breach any provision of these Terms and fail to cure such breach within 10 days of notice;

• you fail to pay any Fees when due and fail to cure such failure within 10 days of notice;

• you become insolvent, bankrupt, or subject to liquidation or dissolution; or

• we decide to discontinue or suspend the Service for any reason.

Upon termination of these Terms:

• your license to use the Service and the indicators will immediately cease;

• you will lose access to your account and any data stored therein;

• you will pay us any outstanding Fees; and

• we may delete your account and any data stored therein without liability.

The following provisions will survive termination of these Terms: 4 (Indicators), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 10 (Indemnification), 11 (Confidentiality), 12 (Data Protection), 13 (Governing Law and Jurisdiction), and 14 (General).

9. Disclaimer of Warranties

THE SERVICE AND THE INDICATORS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE OR THE INDICATORS WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, OR THAT THEY WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, LICENSORS, SUPPLIERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE SERVICE, OR THE INDICATORS, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR USE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE SERVICE, OR THE INDICATORS EXCEED THE AMOUNT OF FEES PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless us and our affiliates, licensors, suppliers, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with:

• your use of or access to the Service or the indicators;

• your breach or violation of any provision of these Terms;

• your violation of any rights of any third party; or

• your negligence or willful misconduct.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us in defending such claims. You agree not to settle any such claim without our prior written consent.

12. Confidentiality

You acknowledge that the Service and the indicators contain our confidential and proprietary information and trade secrets. You agree to maintain the confidentiality of such information and trade secrets and not to disclose or use them for any unauthorized purpose. You also agree to protect such information and trade secrets from unauthorized access, use, copying, or disclosure by using at least the same degree of care that you use to protect your own confidential information of a similar nature, but in no event less than a reasonable degree of care.

13. Data Protection

We will collect, use, store, and process your personal data in accordance with our Privacy Policy , which is incorporated by reference into these Terms. You consent to our collection and use of your personal data as described in our Privacy Policy. You also agree to comply with all applicable data protection laws and regulations when using the Service and providing us with your personal data.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of The Netherlands , without regard to its conflict of laws principles. Any dispute arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts located in The Hague , The Netherlands . You waive any objection to such jurisdiction and venue.

15. General

These Terms constitute the entire agreement between you and us regarding the Service and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and us regarding the Service. These Terms may not be modified or amended except by a written agreement signed by both parties. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. We may assign or transfer our rights and obligations under these Terms to any third party without your consent. You may not assign or transfer your rights and obligations under these Terms without our prior written consent. These Terms do not create any partnership, joint venture, employment, or agency relationship between you and us. Nothing in these Terms is intended to confer any rights or remedies on any third party.
